What This Covers
This AI Disclaimer applies to every artificial intelligence ("AI") feature within the Prosperity Rx platform, including but not limited to:
- The Deal Evaluator (analysis of investment offerings, PPMs, deal documents, sponsor information)
- The AI Co-Pilot (when launched)
- Any future AI-powered analysis, recommendation, classification, or content generation tools
This Disclaimer is in addition to, and not in place of, the Investment Disclaimer, Terms of Use, and Privacy Policy.
How AI Tools Work in Prosperity Rx
Our AI features use third-party large language models, including but not limited to Anthropic's Claude. These models:
- Process text you provide (uploaded documents, pasted text, typed answers)
- Extract information they identify as relevant
- Apply scoring methodologies and frameworks developed by FFI
- Return analysis, scores, and recommendations in human-readable format
Critical Limitations You Must Understand
1. AI Makes Mistakes
AI systems make errors. They miss things humans would catch. They get details wrong. They confidently state incorrect information. They may:
- Misread or misinterpret information in documents you upload
- Miss critical details, fees, terms, or risk factors
- Apply wrong assumptions
- Generate scores that don't reflect actual investment quality
Every output from our AI tools should be treated as a starting point for due diligence, not a conclusion.
2. AI Hallucinates
AI systems sometimes generate "hallucinations", fabricated information that sounds credible and authoritative but is not based on any real source. This can include:
- Inventing facts about a sponsor that aren't true
- Making up specific terms, percentages, or numbers
- Confidently citing information that doesn't exist in the document you uploaded
- Generating plausible-sounding analysis with no factual basis
You must independently verify every factual claim made by our AI tools before relying on it for any decision.
3. AI Output Depends on AI Input
The accuracy of AI output is directly limited by the accuracy of input. If:
- Your uploaded document is incomplete, garbled, or misformatted
- You provide answers to questions that are inaccurate or incomplete
- The source material itself contains errors or misleading information
- A sponsor's marketing materials misrepresent the actual deal
…the AI output will reflect those errors. Garbage in, garbage out applies absolutely.
4. AI Is Not a Professional
Our AI tools:
- Have no fiduciary duty to you
- Have no professional license (financial advisor, CPA, attorney, broker-dealer)
- Are not regulated by FINRA, the SEC, or any professional body
- Cannot be held to professional standards of care
- Cannot be sued for malpractice
Decisions made based on AI analysis are entirely your own responsibility.
5. AI May Be Biased or Outdated
AI systems are trained on data that may be:
- Incomplete or unrepresentative
- Outdated (training data has a cutoff)
- Biased toward certain perspectives or methodologies
- Wrong about current laws, regulations, market conditions, or specific actors
Tax law changes. Sponsors change ownership. Market conditions shift. AI may not know.
6. AI Cannot Perform Due Diligence
The Deal Evaluator and similar tools do NOT:
- Verify the legitimacy of any sponsor or operator
- Confirm any claimed track record
- Validate that documents are genuine
- Check sponsor regulatory status, litigation history, or background
- Replace independent third-party verification
- Substitute for professional due diligence by qualified attorneys, CPAs, or financial advisors
What You Must Do
Before relying on AI output for any investment decision, you must:
- Verify the input. Confirm the documents you uploaded are complete, accurate, and authentic.
- Question the output. Treat every AI conclusion as a hypothesis to test, not a fact to accept.
- Independently verify claims. Cross-check every important factual claim against the original source material.
- Consult professionals. Engage a qualified financial advisor, CPA, attorney, and any other relevant specialists before making investment decisions.
- Read the formal offering documents. AI cannot replace careful review of the actual Private Placement Memorandum, subscription agreement, operating agreement, and other legal documents.
- Understand you bear the risk. Any decision you make based on AI output is your decision and your responsibility.
Limitation of Liability for AI Output
To the fullest extent permitted by law, FFI, FFA, their affiliates, and their officers, directors, employees, and agents shall not be liable for any damages, losses, or claims arising from:
- Errors, omissions, or hallucinations in AI-generated output
- Decisions you make based on AI analysis
- Investment losses, missed opportunities, or other financial consequences
- Any reliance on AI output as a substitute for professional due diligence
This limitation applies whether the claim is based in contract, tort, strict liability, or any other legal theory.
Acknowledgment Required
Before using the Deal Evaluator or any AI-powered tool, you will be required to acknowledge:
- You have read and understood this AI Disclaimer
- You understand AI makes mistakes and may hallucinate
- You will not rely on AI output as the sole basis for any investment decision
- You will perform independent due diligence and consult qualified professionals
- You accept all risk associated with using AI-generated analysis
This acknowledgment is required at first use and again before each individual evaluation.
Updates to This Disclaimer
We may update this AI Disclaimer as AI capabilities, limitations, and best practices evolve. Material changes will be communicated and may require renewed acknowledgment.
