Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Prosperity Rx platform, including all websites, mobile applications, content, tools, and related services (collectively, the "Service") operated by Freedom Family Investments ("FFI", "we", "our", or "us"), including its affiliate Freedom Family Academy ("FFA").

By creating an account, accessing, or using the Service, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

The Service is intended primarily for high-income professionals, including but not limited to physicians, dentists, attorneys, engineers, and business owners. However, the Service is open to any adult who meets the eligibility criteria above.

3. Account Registration and Security

3.1 Account Creation

You may need to create an account to access certain features. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You may not share your account credentials, transfer your account, or allow others to use your account.

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct we determine, in our sole discretion, to be harmful to the Service or other users.

4. Educational Content; Not Financial Advice

4.1 The Service Is Educational

ALL CONTENT PROVIDED THROUGH THE SERVICE IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. The Service does not constitute, and should not be interpreted as:

• Financial, investment, tax, legal, accounting, or professional advice of any kind
• An offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment strategy, or financial product
• A substitute for the advice of a qualified financial advisor, certified public accountant, attorney, or other licensed professional
• A guarantee of any specific financial outcome

4.2 No Fiduciary Relationship

Use of the Service does not create a financial advisory, fiduciary, attorney-client, or other professional relationship between you and FFI, FFA, the authors, or any affiliated entity. Information is provided "as is" and may not always be accurate, complete, or current.

4.3 Independent Verification Required

You should independently verify all information presented through the Service before making any financial, investment, tax, or legal decision. Tax laws, investment regulations, contribution limits, and economic conditions change frequently. Information accurate at the time of publication may not remain accurate. Use of this Service is at your own risk.

4.4 Past Performance and Projections

Any references to past performance, projected returns, or financial scenarios are illustrative only and do not guarantee or predict future results. All investments involve risk, including the potential loss of principal. Investors must be able to bear the loss of their entire investment.

5. Investment-Related Information

5.1 No Solicitation

Information about FFI investment opportunities, the Deal Evaluator tool, the Clarity Call, and any other investment-related content available through the Service is provided for educational purposes only and does not constitute an investment recommendation. Any actual investment opportunity is offered exclusively through formal offering documents (such as Private Placement Memoranda) provided directly to qualified investors. Such documents contain material information including risk factors that should be carefully reviewed before any investment decision.

5.2 Private Placements

FFI focuses on private placement investments, which are not registered with the SEC, are generally illiquid, and are only available to accredited investors as defined under SEC Rule 501. Such offerings are subject to restrictions and may involve substantial risks. The Service does not verify your accreditation status, and inclusion of educational content about such investments does not constitute a determination that you are eligible to invest. Private placement investments are not bank deposits, are not insured by the FDIC or any other governmental agency, are not guaranteed by FFI, and may lose value.

5.3 Deal Evaluator Tool. AI-Generated Analysis

The Deal Evaluator and any AI-powered analysis tools provided through the Service generate output using artificial intelligence. AI-generated analysis is subject to errors, omissions, hallucinations (fabricated information that appears credible), and outdated information. The Deal Evaluator:

• Is an educational tool, not investment advice or a recommendation
• May produce inaccurate or misleading results
• Relies in part on information you provide, which may itself be incomplete or incorrect
• Does not perform comprehensive due diligence
• Does not verify the legitimacy of any sponsor, operator, offering, or document
• Should not be relied upon as the basis for any investment decision

You acknowledge that you use these tools at your own risk and that any decision based on their output is your sole responsibility. You agree to perform your own independent due diligence and to consult qualified professionals before making any investment decision.

5.4 Conflicts of Interest

FFI and its affiliates, including FFA, may occasionally engage in activities that create potential conflicts of interest. We are committed to disclosing such conflicts and acting in the best interests of our clients and investors. The Service educates users about FFI investment opportunities; users should be aware of this commercial relationship when evaluating educational content about real estate investing.

6. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Impersonate any person or entity, or misrepresent your affiliation
• Upload or transmit viruses, malware, or other harmful code
• Scrape, harvest, or collect information from the Service without our express written permission
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Reproduce, duplicate, copy, sell, or resell any portion of the Service for commercial purposes
• Share your account credentials or allow others to use your account
• Use the Service to harass, abuse, or harm another person
• Submit false, misleading, or fraudulent information

7. Intellectual Property

7.1 Our Content

All content available through the Service, including the Prosperity Rx book text, the Freedom Number™ and Freedom Formula™ frameworks, the Phase Assessment, the Deal Evaluator methodology, calculators, illustrations, designs, code, trademarks, and all other materials, is owned or licensed by FFI (including its affiliate FFA) and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

You may view or download material for personal, non-commercial use only. You may not reproduce, distribute, modify, transmit, or use this Service or its content for any commercial purpose without prior written consent from FFI.

7.3 Your Content

You retain ownership of any content you submit to the Service (notes, highlights, profile information, communications, documents uploaded to the Deal Evaluator). By submitting content, you grant FFI a worldwide, non-exclusive, royalty-free license to use, store, display, and process that content solely for the purpose of providing the Service to you.

You may not submit content that:

• Infringes any third party's intellectual property rights
• Is unlawful, threatening, defamatory, or harassing
• Contains personal information of others without their consent

7.4 Feedback

Any feedback, suggestions, or ideas you provide to us about the Service may be used by us without obligation to you. By submitting feedback, you grant us perpetual, royalty-free rights to use it.

8. Third-Party Services and Links

The Service may include links to third-party websites, services, or resources. FFI and FFA do not control or endorse any third-party content and are not responsible for any products, services, or information found on external websites. Please be aware that when you leave our website, other websites may have different privacy policies and terms which are beyond our control. Be sure to review the privacy policies and terms of use of any third-party site before engaging in business or sharing personal information.

9. Paid Features and Subscriptions

9.1 Pricing

Certain features of the Service may require payment. Current pricing is displayed at the point of subscription. Pricing is subject to change with notice.

9.2 Billing

Payments are processed by third-party payment processors (e.g., Stripe). You authorize us to charge the payment method you provide for all subscription fees and applicable taxes.

9.3 Cancellation and Refunds

You may cancel paid subscriptions at any time through your account settings. Cancellations take effect at the end of the current billing period. Subscription fees are non-refundable except where required by law.

9.4 Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. We will notify you in advance of any material price changes.

10. Disclaimers

10.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• WARRANTIES OF MERCHANTABILITY
• WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT

10.2 No Guarantee of Results

We make no representations or warranties about the results you may achieve from using the Service. Financial outcomes depend on many factors outside our control, including market conditions, individual circumstances, the actions you take or fail to take, and the advice of qualified professionals you consult.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FFI, FFA, THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless FFI, FFA, their affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation
• Any content you submit to the Service
• Any investment decision you make based on information from the Service

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting invest@freedomfamilyinvestments.com. We will attempt to resolve the dispute within 60 days of receipt.

13.2 Binding Arbitration

If the dispute cannot be resolved informally, you and FFI agree that any dispute arising out of or related to these Terms or the Service shall be resolved through binding arbitration in Warren County, Ohio, administered by the American Arbitration Association under its Commercial Arbitration Rules.

13.3 Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE BROUGHT INDIVIDUALLY AND NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

13.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property infringement or unauthorized access to the Service.

14. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Exclusive jurisdiction for any matter not subject to arbitration shall lie in the state and federal courts located in Warren County, Ohio.

15. Modifications to the Service or Terms

We reserve the right to update these Terms at any time. If we make material changes, we will notify you by:

• Updating the "Last Updated" date
• Sending an email to your registered address for material changes
• Displaying a notice within the Service

Continued use after changes take effect constitutes acceptance.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.

17. Entire Agreement

These Terms, together with the Privacy Policy, the Investment Disclaimer, the Cookie Policy, the Acceptable Use Policy, and the AI Disclaimer applicable to the Deal Evaluator and similar tools, constitute the entire agreement between you and FFI regarding the Service.
